About Us

These terms apply to services supplied by Jigsaw Internet Ltd trading as Jigsaw Design Studio (Jigsaw), company number 07993821, registered office 317 Amersham Road, Hazlemere, High Wycombe, England HP15 7PX. Contact mark@jigsawdesignstudio.co.uk. They principally govern business customers; mandatory consumer rights remain unaffected.

Agreement

The accepted quotation, proposal or statement of work, these terms and agreed written changes form the contract. An expressly agreed provision in a signed proposal takes precedence. Acceptance in writing, payment of a requested deposit or express instruction to begin on an agreed quotation creates a contract.

Services and scope

We provide website design, development, hosting, maintenance, SEO, paid advertising, branding, print and graphic design, CRM, email marketing, AI, automation and consultancy as specified in the accepted proposal. Services not expressly included are excluded.

Quotations and pricing

Unless a quotation specifies otherwise it remains valid for 30 days. Prices exclude VAT unless stated otherwise. External costs, advertising budgets, domains, licences, subscriptions and printing are excluded unless specifically included. Material changes require a revised agreement.

Deposits and payment

Deposits, staged payments and balances vary by project and are set out in the quotation. Unless otherwise agreed in writing, invoices are payable within 30 calendar days of the invoice date. Qualifying overdue business debts may attract statutory interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998. We may suspend work or hosted services for undisputed overdue amounts after reasonable written notice, subject to law and data protection obligations.

Client responsibilities

Clients must supply accurate instructions, lawful content, licences, access credentials, feedback and approvals in a timely manner. Clients are responsible for their business claims, prices, product information and sector-specific legal compliance unless expressly within our scope.

Timelines and stalled projects

Delivery dates are estimates unless expressly fixed. Client delays may change the schedule. After 60 consecutive days without reasonably requested information or approvals, we may give 14 days written notice before suspending or closing the project, invoicing completed work and properly committed non-refundable costs. Restarting may require a revised quotation.

Changes and revisions

Only the agreed number and type of revisions are included. Extra pages, features, meetings, redesigns, integrations or changed instructions may incur additional fees, agreed before chargeable work proceeds.

Testing, approval and launch

We exercise reasonable skill and care in testing against the agreed scope. Clients must review work and report reasonably identifiable issues promptly. Launch approval does not waive rights relating to defects or contractual obligations. New requirements after launch may be separately charged.

Intellectual property

Clients retain rights to their supplied materials. Once relevant fees are paid in full, we assign rights we own in bespoke final designs, original commissioned content and deliverables, to the extent legally assignable. We retain pre-existing tools, methods, reusable code, templates, know-how and working files not expressly included. We grant a perpetual non-exclusive licence to use retained Jigsaw components incorporated in paid deliverables for their intended operation. Third-party software, fonts, stock assets and plugins remain under their own licences.

Domain names

Domain ownership depends on registrar records and individual agreements. We will reasonably assist legitimate transfers subject to verification, registrar rules and contractual obligations. Clients must maintain accurate registration details and pay agreed renewal charges.

Hosting

Hosting is supplied according to the purchased plan. We exercise reasonable care but cannot guarantee uninterrupted availability. Infrastructure and third-party failures may affect service. Unlawful use, spam or serious security threats may justify proportionate suspension, including urgent action where necessary.

Maintenance and support

Support, updates, backups, monitoring and recovery are included only to the extent described in the agreed plan. New features, major redesigns, pre-existing faults, unauthorised changes, third-party subscriptions and extensive remediation are excluded unless agreed. Updates may require additional compatibility work.

Security and backups

We apply reasonable technical and organisational measures appropriate to the contracted service. No system is entirely immune from malware, intrusion or loss. Backup and restoration duties follow the agreed plan. Both parties must protect credentials and cooperate on security incidents and legally required notifications.

Website transfers and handover

After termination and payment of sums lawfully due, clients may request website files and database to which they are contractually entitled. We will reasonably facilitate secure access or export, subject to third-party licences and rights. Preparation, packaging and transfer work may attract a reasonable fee based on size and complexity, quoted and agreed before chargeable work begins. The receiving provider handles installation, configuration and testing unless separately agreed. Licences or integrations tied to our infrastructure may not transfer. No fee or payment dispute overrides mandatory data protection rights or processor return obligations.

SEO

We perform agreed SEO services with reasonable skill and care but cannot guarantee rankings, indexing, traffic, enquiries, conversions or revenue. Search engine algorithms, competition and external factors are outside our control.

Advertising and marketing

Advertising platform expenditure is separate from management fees unless agreed. We cannot guarantee ad approvals, lead costs, sales or profitability. Clients remain responsible for lawful product and business claims; we remain responsible for professional performance of our contracted work.

AI, CRM and automation

AI outputs and automated communications can be inaccurate or delayed. Clients must provide appropriate human oversight, particularly for regulated or consequential decisions. Third-party APIs and platforms may change. Marketing permissions, privacy obligations and operational responsibilities are allocated by the proposal and applicable data processing terms.

E-commerce

Clients remain responsible for product listings, pricing, fulfilment, customer service, refunds, consumer compliance and merchant obligations unless expressly included in our scope. Gateways, marketplace platforms and shipping services have separate terms. We remain responsible for reasonable care in agreed implementation.

Third-party software

Plugins, hosting providers, platforms and other suppliers may change functionality, pricing or availability. We are not responsible for independent supplier conduct beyond our reasonable control, but remain responsible for our own contractual duties and reasonable care in selecting and configuring services within scope.

Confidentiality and data protection

Each party must protect confidential information and comply with applicable UK data protection law. Where we process personal data on a client behalf, appropriate Article 28 UK GDPR processor terms will be agreed.

Portfolio

Unless confidentiality or written agreement prevents it, we may identify clients and feature completed publicly launched work in our portfolio and marketing without disclosing confidential information.

Cancellation and termination

Unless otherwise agreed, ongoing hosting and maintenance may be cancelled by either party with 30 days written notice. Charges for the notice period and properly agreed non-cancellable third-party commitments remain payable. One-off projects may be cancelled subject to payment for work performed, properly committed costs and any reasonable enforceable agreed cancellation charges. Material breaches may justify termination after reasonable opportunity to remedy, or immediately where lawful and necessary. Consumer cancellation rights are preserved.

Liability

Nothing limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited. Subject to applicable law, aggregate liability for a contract is capped at fees paid or payable under that contract in the preceding 12 months, or total contract fees if shorter. To the extent legally enforceable, indirect or consequential loss and anticipated profits, opportunities and goodwill are excluded. These provisions do not remove our duty of reasonable skill and care.

Disputes and general

Please raise complaints promptly so both parties can attempt good-faith resolution. Neither party is responsible for events outside reasonable control where reasonable mitigation is undertaken. Unenforceable provisions do not invalidate the remainder. Waivers and variations must be in writing. English law governs, subject to mandatory consumer rights and jurisdiction.
